1. Agreement and Acceptance (Clickwrap)

BY CLICKING "SIGN UP," "CREATE ACCOUNT," OR OTHERWISE ACCESSING OR USING LOGSHIELD, YOU AFFIRMATIVELY AND EXPLICITLY AGREE TO BE LEGALLY BOUND BY THESE TERMS OF SERVICE. This constitutes an enforceable clickwrap agreement under applicable U.S. federal and state law. If you do not agree to all Terms, you must not use the Service. If you act on behalf of a business entity, you represent that you have legal authority to bind that entity.

2. Service Description — Documentation Tool Only

LogShield is a SaaS platform providing: SHA-256 hashing, RFC 3161 timestamping, E-SIGN Act compliant digital signatures, GPS logging, and PDF generation. LogShield is a documentation software tool ONLY. It is not a law firm, attorney, paralegal, or legal services provider. No attorney-client relationship is formed by any use of this Service.

3. No Legal Advice — Critical Disclaimer

NOTHING on this website, within the platform, in any generated report, PDF, email, or any communication from LogShield constitutes legal advice, legal opinion, or legal representation of any kind. All features are software tools only and do not constitute legal services or any guarantee of legal sufficiency under any jurisdiction's law. YOU ARE SOLELY RESPONSIBLE FOR SEEKING QUALIFIED LEGAL COUNSEL FOR ALL LEGAL MATTERS.

4. No Guarantee of Admissibility or Legal Outcomes

LogShield makes NO warranty, express or implied, that: (a) any report will be admitted as evidence in any court, arbitration, or legal proceeding; (b) use of the Service will result in any favorable legal outcome; (c) any legal claim will be won, avoided, or settled; (d) cryptographic or timestamp features will satisfy the evidentiary standards of any court; or (e) the Service is suitable for any specific legal purpose. All admissibility determinations are made solely by courts, judges, and legal authorities on a case-by-case basis and are entirely outside LogShield's control.

5. License Grant

Subject to these Terms and active subscription, LogShield grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes. All rights not expressly granted are reserved.

6. Prohibited Uses

You represent and warrant all information submitted is truthful and accurate. You expressly agree NOT to: (a) create false, fraudulent, fabricated, or backdated reports; (b) misrepresent any incident, injury, witness, or party; (c) commit fraud, insurance fraud, workers' compensation fraud, perjury, or any federal or state crime; (d) infringe third-party rights; (e) circumvent or tamper with security features; (f) harass or harm any person. Violations may constitute federal wire fraud (18 U.S.C. § 1343), insurance fraud, perjury, or other crimes carrying criminal penalties. LogShield will cooperate fully with law enforcement.

7. Indemnification

You agree to fully defend, indemnify, and hold harmless LogShield, its owners, operators, affiliates, officers, directors, employees, and agents from all claims, damages, losses, liabilities, costs, and attorneys' fees arising from: (a) your use of the Service; (b) content you submit; (c) your breach of these Terms; (d) your violation of any law or third-party right; (e) any legal proceeding involving documents generated through your use; or (f) any third-party harm caused by your use. This obligation survives termination.

8. Subscription and Billing

Paid subscriptions are billed monthly on the anniversary of your start date. You authorize recurring charges. Fees may change with 30 days' notice. Cancel anytime via account settings; access continues through the end of the billing period. No prorated refunds. Payments processed by Stripe, Inc. (Stripe's terms apply). LogShield does not store card data.

9. Free Trial

A 14-day free trial with Pro plan access requires no credit card. LogShield may modify or discontinue the trial at any time. Upon expiration, the account reverts to Trial-tier restricted access without purchase obligation.

10. Data Ownership and Limited License

You retain full ownership of all content you submit. You grant LogShield a limited, non-exclusive, royalty-free license to store and process your content solely to provide the Service. LogShield will not use your content for AI training, marketing, advertising, or resale.

11. Intellectual Property

All Service software, features, design, and trademarks are owned by LogShield and protected by U.S. and international law. You may not copy, modify, distribute, or reverse-engineer the Service. Feedback you provide may be used by LogShield without obligation.

12. Service Availability

LogShield does not guarantee uninterrupted or error-free service. The Service is provided on a commercially reasonable efforts basis. LogShield may modify, suspend, or discontinue the Service at any time with reasonable notice. LogShield is not liable for interruptions, downtime, or data loss.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOGSHIELD AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING LOSS OF PROFITS, DATA, BUSINESS, GOODWILL, LEGAL JUDGMENTS, SETTLEMENTS, FINES, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, UNDER ANY LEGAL THEORY, EVEN IF ADVISED OF SUCH DAMAGES. LOGSHIELD'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) AMOUNTS PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS; IN SUCH CASES LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR UNINTERRUPTED ERROR-FREE OPERATION.

15. Dispute Resolution, Arbitration, and Class Action Waiver

All disputes shall be resolved through binding individual arbitration under AAA Consumer Arbitration Rules. Either party may seek emergency injunctive relief in court. ARBITRATION OPT-OUT: You may opt out within 30 days of account creation by emailing support@logshield.site with "Arbitration Opt-Out" in the subject. CLASS ACTION WAIVER: You and LogShield each waive the right to participate in any class action, class arbitration, or representative proceeding. All claims must be brought individually.

16. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law rules. Non-arbitrated matters shall be resolved exclusively in Delaware state or federal courts. The UN CISG does not apply.

17. DMCA Compliance

To report copyright infringement, email support@logshield.site with: identification of the copyrighted work and infringing material; your contact information; a good-faith statement that use is not authorized; and a statement of accuracy under penalty of perjury.

18. Changes to Terms

Material changes will be communicated via email and/or platform notification at least 14 days before the effective date. Continued use after the effective date constitutes acceptance. If you disagree, stop using the Service.

19. Termination

LogShield may immediately suspend or terminate your account for Terms violations, fraudulent or illegal activity, non-payment, or as required by law. Upon termination, your license ends immediately. Data retained 30 days for export, then permanently deleted. Sections 3, 4, 7, 10, 13, 14, 15, and 16 survive termination.

20. Entire Agreement and Severability

These Terms and the Privacy Policy are the entire agreement between you and LogShield. If any provision is unenforceable, remaining provisions remain in full effect. Failure to enforce any right is not a waiver.

1. Introduction

LogShield is committed to protecting your privacy. This Policy explains how we collect, use, disclose, and safeguard your information. By using LogShield, you consent to the practices described here. This Policy complies with the CCPA/CPRA (California), Virginia CDPA, Colorado CPA, Connecticut CTDPA, Texas TDPSA, and all other U.S. state privacy laws active as of 2026 — covering all 20 states with comprehensive privacy legislation.

2. Information We Collect

Directly provided: name, email, business name and address, incident report content (descriptions, dates, locations), photos, GPS coordinates, witness names and emails, digital signatures, and billing information.

Automatically collected: IP address, browser type and version, operating system, pages visited, session duration, referring URLs, and device identifiers — used only for security and fraud prevention.

Payment data: Processed entirely by Stripe, Inc. LogShield never collects, stores, or processes credit card numbers.

3. How We Use Your Information

We use your information solely to: (a) provide and maintain the Service; (b) process subscriptions and payments; (c) send transactional communications (confirmations, receipts, password resets); (d) respond to support requests; (e) detect and prevent fraud and security incidents; and (f) comply with legal obligations. We do NOT sell, rent, or share your personal information for commercial purposes. We do NOT use incident report content for advertising or AI training.

4. Do Not Sell or Share — All 20 State Laws

LogShield does not sell personal information as defined under any applicable state or federal law. LogShield does not share personal information for cross-context behavioral advertising. This applies to residents of all 20 states with active comprehensive privacy laws as of 2026: California, Colorado, Connecticut, Delaware, Indiana, Iowa, Kentucky, Maryland, Minnesota, Montana, Nebraska, New Hampshire, New Jersey, Oregon, Rhode Island, Tennessee, Texas, Utah, Virginia, and Washington.

5. Global Privacy Control (GPC) — 11 State Compliance

LogShield recognizes and honors the Global Privacy Control (GPC) signal as required by California (CCPA/CPRA), Colorado (CPA), Connecticut (CTDPA), Oregon, Delaware, Maryland, Minnesota, Montana, New Hampshire, New Jersey, and Texas. If your browser transmits a GPC signal, LogShield treats it as a valid opt-out of the sale or sharing of your personal information. As LogShield does not sell or share personal information, GPC signals are automatically honored.

6. Data Storage and Security

Data is stored in Supabase infrastructure with AES-256 encryption at rest and TLS 1.2+ in transit. We implement access controls, authentication, and regular security reviews. No system is 100% secure. In the event of a breach affecting personal data, we will notify affected users as required by applicable state breach notification laws (typically within 30-72 hours of discovery).

7. Incident Report Data

All reports, photos, GPS data, witness information, and signatures you submit are your exclusive property. We will not access, review, or share this content except: (a) as required by valid legal process; (b) for technical support with your explicit permission; (c) to investigate suspected fraud; or (d) to protect safety. We will notify you of legal demands for your data unless prohibited by law.

8. Third-Party Processors

We share data only with: Supabase, Inc. (database/auth); Stripe, Inc. (payments); FreeTSA.org (RFC 3161 timestamps — hash only, no personal data). We do not use Google Analytics, Facebook Pixel, or any advertising networks or data brokers.

9. Cookies and Tracking

LogShield uses only essential cookies required for authentication and session management. We do not use advertising cookies, behavioral tracking cookies, or third-party analytics. We honor Do Not Track (DNT) and Global Privacy Control (GPC) signals. We do not engage in cross-site behavioral tracking or fingerprinting.

10. Data Retention

Data retained while account is active. Upon cancellation: (a) 30 days for export; (b) permanently deleted after 30 days; (c) payment records retained up to 7 years for tax compliance; (d) anonymized aggregate data may be retained indefinitely. You may request immediate deletion at any time.

11. Your Privacy Rights (Universal)

Know/Access: request what data we hold; Correction: fix inaccurate data; Deletion: delete your account and data; Portability: export in PDF/CSV; Opt-Out: of any sale or sharing (not applicable — we don't sell); Non-Discrimination: for exercising any rights. Submit requests to support@logshield.site. We respond within 45 days (CCPA) or 30 days (GDPR/other). Identity verification may be required.

12. California Rights (CCPA / CPRA 2026)

California residents have rights to: know, delete, correct, and opt out of sale/sharing of personal information; limit use of sensitive personal information; non-discrimination; and opt out of automated decision-making (ADMT). LogShield does not sell or share personal information. LogShield does not use automated decision-making that substantially affects users. CCPA requests: support@logshield.site. Response within 45 days. California's CPRA regulations for automated decision-making, risk assessments, and cybersecurity audits (effective January 1, 2026) are monitored and complied with.

13. Multi-State Privacy Rights (20 States, 2026)

LogShield honors the privacy rights of residents of all 20 U.S. states with active comprehensive privacy laws as of 2026. Common rights across states — access, correction, deletion, portability, and opt-out of profiling — are available to all users regardless of state. Oregon's amended law (effective January 2026) requiring recognition of universal opt-out signals and restricting sale of geolocation data is honored. Connecticut's 2026 amendments (expanded sensitive data, enhanced minor protections) are honored. To exercise any state privacy right: support@logshield.site.

14. GDPR — European Users

EEA, UK, and Switzerland users have GDPR rights: access, rectification, erasure, restriction, portability, and objection. Legal basis: contract performance; legitimate interests (security/fraud prevention); legal obligation. GDPR requests: support@logshield.site. Response within 30 days. Data transferred to the U.S. under appropriate GDPR safeguards.

15. Children's Privacy (COPPA + State Laws)

LogShield is for business use by adults 18+. We do not knowingly collect data from children under 13 (COPPA) or under 16 (as required by California, Delaware, New Jersey, Maryland, and Connecticut for certain processing activities). Data from minors discovered will be deleted immediately. Contact support@logshield.site if you believe a minor's data was submitted.

16. Data Breach Notification

In the event of a breach compromising personal data, LogShield will notify affected users per applicable state breach notification laws. Timelines vary by state (typically 30-72 hours for material breaches). Notifications will describe the nature of the breach, data affected, and remediation steps.

17. International Data Transfers

LogShield operates from the United States. Data from outside the U.S. is transferred to and processed in the U.S. By using the Service, you consent to this transfer. EEA transfers are subject to appropriate GDPR safeguards.

18. Changes to This Policy

Material changes will be communicated via email and platform notification at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
